Definitions

"Service" means the InnRay AI Chatbot Platform, including all software, features, and related services provided by InnRay.

"Overage" means usage exceeding the limits of Customer's selected Subscription Plan.

1. Agreement and Acceptance

These Terms of Service ("Terms") govern your use of the InnRay AI Chatbot Platform ("Service") provided by InnRay Rafał Pydyniak ("InnRay," "we," "us," or "our"). By accessing or using our Service, you ("Customer," "you," or "your") agree to be bound by these Terms and our Privacy Policy.

2. Service Description

Platform Overview

InnRay provides an AI-powered chatbot solution that integrates with Liferay to transform document repositories into intelligent Q&A systems. The Service includes:

  • Document indexing and AI-powered search capabilities
  • Natural language query processing
  • Permission-aware response generation
  • Analytics and usage reporting
  • Administrative controls and configuration options

Service Availability

We strive to maintain high availability for the Service, excluding scheduled maintenance windows which will be announced at least 48 hours in advance. However, we provide the Service "as is" and do not guarantee specific uptime percentages.

3. Account Registration and Security

Account Creation

  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • One account per organization unless multiple accounts are pre-approved

User Management

  • You are responsible for managing user access within your organization
  • You must ensure users comply with these Terms
  • You must promptly remove access for users who should no longer have it

4. Acceptable Use

Permitted Uses

  • Use the Service for legitimate business purposes
  • Upload and process business documents and content
  • Configure chatbot settings within your permission levels
  • Access usage analytics and reporting features

Prohibited Uses

  • Upload illegal, harmful, or inappropriate content
  • Attempt to reverse engineer or copy the Service
  • Use the Service to spam, harass, or harm others
  • Violate any applicable laws or regulations
  • Circumvent security measures or access controls
  • Use the Service beyond your subscription limits

Content Responsibility: You are solely responsible for all content uploaded to the Service and must ensure you have the right to process such content.

5. Data Ownership and Privacy

Your Data Ownership

  • You retain full ownership of all content uploaded to the Service
  • We act as a data processor; you remain the data controller
  • Your data will not be used to train AI models or shared with third parties

Our Data Processing

  • We process your data solely to provide the Service
  • Data processing is governed by our Privacy Policy
  • We implement industry-standard security measures
  • Data is stored in secure, encrypted environments

Data Deletion

  • You can delete specific documents or entire datasets at any time
  • Upon account termination, all data is deleted within 30 days
  • Backup data is securely wiped within the same timeframe

6. Billing and Refunds

Billing Terms

  • Subscription fees are billed monthly or annually in advance
  • Automatic Renewal: Subscriptions automatically renew for successive periods unless cancelled before next period starts
  • Annual subscriptions receive a 2-month discount and renew annually
  • Price changes require 30 days advance notice and apply at next renewal

Refund Policy

  • Monthly subscriptions are non-refundable
  • Annual subscriptions may receive pro-rated refunds only in cases of service failures
  • Trial-to-paid conversions are non-refundable
  • Refunds for service termination due to our breach will be calculated on a pro-rata basis

Usage Overages

  • Exceeding plan limits may result in additional charges
  • We will notify you before applying overage fees
  • Upgrade options available to avoid overage charges

7. Free Trial

14-Day Free Trial

  • New customers receive a 14-day free trial
  • No credit card required for trial activation
  • Trial includes: up to 100 documents, up to 500 questions, and all features except enterprise-only items
  • Trial automatically ends without charge unless upgraded

8. Intellectual Property

Our Intellectual Property

  • The Service, including all technology and software, is our proprietary property
  • You receive a limited, non-exclusive license to use the Service
  • You may not copy, modify, or create derivative works of our technology
  • All trademarks and service marks remain our property

Your Intellectual Property

  • You retain all rights to your content and data
  • You grant us a limited license to process your content solely to provide the Service
  • This license terminates when you delete content or terminate your account

9. Service Modifications and Updates

Service Changes

  • We may modify or update the Service to improve functionality
  • We will maintain backward compatibility where reasonably possible
  • You may terminate if you disagree with material changes

Maintenance and Downtime

  • Scheduled maintenance will be announced 48 hours in advance
  • Emergency maintenance may occur with minimal notice
  • We will minimize downtime and restore service as quickly as possible

10. Limitation of Liability and Disclaimers

Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of accuracy, reliability, or completeness of AI responses
  • Promises of uninterrupted, secure, or error-free operation
  • Warranties regarding third-party integrations or services
  • Damages from AI model hallucinations, biases, or inaccuracies
  • Regulatory compliance failures or penalties
  • Third-party provider service interruptions or data breaches
  • Integration failures with Customer's Liferay systems

AI Service Limitations

You acknowledge that:

  • AI responses may contain inaccuracies and should not be relied upon for critical decisions without human review and verification
  • The Service is designed to assist with information retrieval, not to replace professional judgment
  • AI responses are based on available data and may not reflect current information
  • We do not warrant the accuracy, completeness, or reliability of any AI-generated content

Maximum Liability Cap

Our total liability is limited to the amount paid by you in the 3 months preceding the claim.

Exclusion of Damages

We are not liable for:

  • Indirect, incidental, special, punitive, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of goodwill
  • Cost of substitute services or products
  • Any damages arising from third-party services or integrations
  • Damages resulting from your failure to backup data
  • Security breaches beyond our reasonable control

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Customer Responsibilities and Acknowledgments

By using the Service, you acknowledge and agree that:

  • You use the Service at your own risk
  • You are solely responsible for evaluating the suitability of AI responses
  • You will not rely solely on AI responses for business-critical decisions
  • You understand the limitations of AI technology
  • You are responsible for backing up your data
  • You must test the Service's suitability for your specific use case
  • You are liable for your users' actions and compliance with these Terms

Claims Limitation Period

Any claim against us must be brought within one (1) year after the cause of action arises, or such claim will be permanently barred.

Customer Assumption of Risk

Customer expressly assumes all risks associated with AI technology limitations, third-party provider dependencies, and internet-based service vulnerabilities.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service in violation of these Terms
  • Content you upload that infringes third-party rights
  • Your violation of applicable laws or regulations
  • Actions of your users or anyone accessing the Service through your account

12. Termination

Termination by You

  • You may terminate your subscription at any time
  • No penalties for termination
  • Unused subscription fees are non-refundable

Termination by Us

  • We may terminate for material breach of these Terms
  • Immediate termination for security threats or illegal activity
  • Refund of unused fees for terminations due to our service failures
  • We may terminate providing the service without providing any reason with 30 days notice

Effect of Termination

  • Service access ends when current billing period finishes
  • Data deletion begins within 30 days
  • Survival of payment obligations and indemnification clauses

13. Support and Service Levels

Support Channels

  • Email support during business hours (Monday-Friday, 9:00 AM - 6:00 PM CET)
  • Enterprise plan: custom support (including channels and SLA) defined in separate agreement

Support Scope

  • Technical assistance with platform functionality
  • Guidance on best practices and configuration
  • Troubleshooting integration issues
  • Does not include custom development or consulting

14. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

  • Natural disasters, war, terrorism, or government actions
  • Internet outages, cyber attacks, or infrastructure failures
  • Strikes, labor disputes, or supplier failures
  • Pandemic-related restrictions or business disruptions

15. GDPR and Data Protection

For customers in the EU/EEA, we comply with GDPR requirements. See our Privacy Policy for detailed data processing information. You have rights including access, correction, deletion, and portability of your personal data.

16. Governing Law and Disputes

Governing Law: These Terms are governed by the laws of Poland.

Dispute Resolution

  • Good faith negotiation required before formal proceedings
  • Disputes resolved through binding arbitration where permitted by law
  • Intellectual property disputes are excluded from arbitration and may be brought in courts of competent jurisdiction
  • Each party bears its own legal costs unless otherwise awarded
  • Class action waivers do not apply where prohibited by law

Jurisdiction: For disputes not subject to arbitration, courts in Poznań, Poland have exclusive jurisdiction.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between us.
  • Severability: If any provision is found invalid, the remaining provisions continue in full force.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations.
  • Notices: Official notices will be sent to the email address associated with your account.

Updates to Terms

  • Material changes require 30 days advance notice
  • Continued use after changes constitutes acceptance
  • Previous versions available upon request
